1. Acceptance of Terms

By accessing or using the TradeSource platform and website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

TradeSource is a B2B digital infrastructure platform that enables the issuance, transfer, and verification of digital warehouse receipts for international trade. The platform digitizes warehouse receipts into blockchain-secured digital titles to facilitate trade ownership documentation.

3. Eligibility

The Service is intended for use by businesses and trade professionals, including exporters, importers, and warehouse operators. By using the Service, you represent that you are authorized to enter into these Terms on behalf of your organization and that your organization is legally permitted to engage in international trade activities.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TradeSource immediately of any unauthorized use of your account.

5. Use of the Platform

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

Use the Service for any fraudulent, illegal, or unauthorized purpose
Attempt to interfere with or disrupt the integrity or performance of the Service
Attempt to gain unauthorized access to the Service or its related systems
Use the Service to issue, transfer, or verify warehouse receipts for goods that do not exist or are misrepresented
Reverse-engineer, decompile, or disassemble any part of the Service

6. Digital Warehouse Receipts

Digital warehouse receipts issued through the platform represent digital documentation of physical assets stored with third-party warehouse operators. TradeSource does not take ownership, custody, or control of any physical goods. The validity and enforceability of digital warehouse receipts are subject to applicable trade, commercial, and local laws in the relevant jurisdictions.

7. Fees and Payment

Certain features of the Service may be subject to fees. Applicable fees will be communicated to you before you incur them. TradeSource reserves the right to modify its fee structure with reasonable notice. Transaction fees are applied as described in the platform documentation and are fairly split between buyer and seller.

8. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by TradeSource and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works based on the Service without prior written consent.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. TradeSource does not warrant that the Service will be uninterrupted, error-free, or secure. TradeSource does not guarantee the accuracy, completeness, or reliability of any information provided through the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, TradeSource and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless TradeSource and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

12. Termination

TradeSource may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.

14. Changes to Terms

TradeSource reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
